Please read these terms of sale carefully before placing your order and retain a copy of these terms and your order for future reference as they will govern your transactions with us.
Definitions
'BUYER'
means any person, firm, company or organisation from whom or from which the Seller accepts a Purchase Order or Quotation to supply the Goods and/or the Services, and shall also extend to include "You".
'GOODS'
means any goods (including any part of the goods) which the Seller is to supply in accordance with these Conditions.
'SELLER'
means QuasarUK Limited whose registered office is at Unit 21, Cliffe Industrial Estate, Lewes, East Sussex, BN8 6JL, and shall extend to include "Us".
'CONDITIONS'
means these standard terms and conditions of sale and (unless the context otherwise requires) shall only include special terms and conditions if these have been agreed in writing on the front of the Purchase Order or the Quotation by the Seller
'CONTRACT'
means the contract for the purchase and sale of the Goods and/or the Services in accordance with these Conditions.
'PURCHASE ORDER'
means an order placed by the Buyer with the Seller through the Seller's website, and which shall be acknowledged in writing by the Seller and shall be entered into on the basis that these Conditions apply to the Purchase Order.
'QUOTATION'
means a quotation provided by the Seller to the Buyer which the Buyer wishes to proceed with, and shall be accepted by the Buyer on the basis that these Conditions shall apply.
'SERVICES'
means any services which the Seller is to provide in accordance with these Conditions
'WRITING'
includes email, cable, facsimile transmission and comparable means of communication which are acceptable under English Law, as amended from time to time.
1. Basis of the Sale
1.1. No Contract shall exist between the Buyer and the Seller for the sale of any Goods or Services until the Seller has received and accepted the Purchase Order, or the Seller has provided a Quotation which has been accepted by the Buyer, and the Seller has received payment in full (in cleared funds). 1.2. An acknowledgement of the Purchase Order will be sent by the Seller to the Buyer, but acceptance of the Buyer's offer to buy the Goods and/or Services will not take place until after full payment is taken and the Seller sends to the Buyer an acceptance notification. It is at this point that a binding legal Contract is created and is subject to these Conditions. 1.3. The Contract is subject to the Buyer's right of cancellation. 1.4. The Seller may change these Conditions without notice to the Buyer in relation to any future Purchase Orders and/or Quotations. The up-to-date version of these Conditions shall be placed on the website within 24 hours of any amendments made to them. 1.5. Description and price of the Goods 1.6. The description and price of the Goods and/or Services will be as shown on the Seller's website at the time the order is placed. VAT shall be excluded from the price and will be added to the total of the Purchase Order, unless otherwise stated. 1.7. The Goods and Services are subject to availability. If on receipt of an order the Goods and/or Services ordered are not available, the Seller will inform the Buyer as soon as possible and shall inform the Buyer of an alternative date when the Goods or Services should become available. In such circumstances, the Buyer shall have the right to cancel the Purchase Order in accordance with Condition 7 below. 1.8. Every effort is made to ensure that prices shown on the Seller's website are accurate at the time an order is placed. If an error is found, the Seller will inform the Buyer as soon as possible and offer the Buyer the option of reconfirming the Purchase Order at the correct price, or canceling the Purchase Order in accordance with Condition 7. If the Seller does not receive a new Purchase Order from the Buyer within 14 days of informing the Buyer of the error, the Purchase Order will be cancelled automatically. If the Buyer cancels the Purchase Order, or if the Purchase Order is cancelled automatically due to the expiry of the 14 day period, the Seller will refund the Buyer for any sum that has been paid by the Buyer for the Goods and/or Services. 1.9. In addition to the price, the Buyer may be required to pay a delivery charge for the Goods. This will be clearly set out on the website and will also be confirmed on the Quotation or acknowledgement of the Purchase Order.
2. Payment
2.1. Payment for the Goods, Services and any applicable delivery charges can be made by any method shown on the Seller's website at the time the Purchase Order is placed. Payment shall be due immediately on placing the Purchase Order. 2.2. The Goods and Services will not be delivered until cleared funds are received in full, in accordance with Condition 3.1. 2.3. Payments shall be made by the Buyer without any deduction whatsoever.
3. Delivery of Goods
3.1. Any Goods ordered under a Purchase Order will be delivered to the address provided by the Buyer at the time of placing the Purchase order. 3.2. Provided Condition 3.1 and 3.2 have been complied with, any Purchase Orders for Goods placed before 3.00 pm on any working day will be processed the same day and will be delivered in accordance with the requested delivery option provided by the Buyer at the time of placing the Purchase Order, and provided that all Goods are in stock. (A working day is any day other than weekends and all bank or other public holidays recognised in England.) 3.3. If delivery cannot be made to the Buyer's address for any reason under the Seller's reasonable control, the Seller will inform the Buyer as soon as possible and will either offer the Buyer a refund for the price that has been paid by the Buyer or will offer an alternative delivery date to the Buyer. 3.4. If the Buyer deliberately fails to take delivery of the Goods (other than in connection with Condition 4.3) then without prejudice to any other right or remedy available to the Seller , the Seller may either choose to: 3.5. store the Goods until actual delivery takes place, and will charge the Buyer for reasonable costs (including insurance) incurred by the Seller; or 3.6. re-sell the Goods at the best, readily obtainable, price and (after deducting all reasonable storage and re-selling costs incurred by the Seller) if the Seller incurs any shortfall below the price the Buyer agreed to pay for the Goods, shall invoice the Buyer for that shortfall. 3.7. If the Buyer fails to take delivery because the Buyer has cancelled the Contract in accordance with Condition 7, the Seller shall refund the Buyer within 30 days for any sum that has been paid by the Buyer for the Goods. If the Buyer exercises the right to cancel, the Buyer shall be required to return all of the Goods received by them to the Seller. Should you fail to return the Goods, the Seller reserves the right to deduct any recovery costs incurred by the Seller in retrieving the Goods. 3.8. Every effort will be made to deliver the Goods as soon as possible after the Purchase Order has been accepted. However, the Seller will not be liable for any loss or damage suffered by the Buyer through reasonable and/or unavoidable delay in delivery. In this case, the Seller will inform the Buyer as soon as possible and will keep the Buyer updated. 3.9. The Buyer will be asked to sign for the Goods when they are delivered in good condition. If the Goods do not appear to be in good condition then the Buyer should refuse to accept the delivery and should notify the Seller in writing within 2 working days. If the Buyer is unable to check the contents of the delivery at the point of delivery then the Buyer should sign for the parcel and mark it as UNCHECKED . Failure to do so may affect any warranty claims that the Buyer may make afterwards.
4. Risk/Title
4.1. The Goods are at the Buyer's risk from the time of attempted delivery. If the Goods are not delivered and Condition 4.4.1 applies, then the Goods will be stored at the Buyer's risk. 4.2. Ownership of the Goods shall not pass to the Buyer until the Seller has received in full (in cleared funds) all sums due to it in respect of: 4.2.1. the Goods, and, 4.2.2. all other sums which are or which become due to the Seller from the Buyer on any account. 4.3. The Seller shall be entitled to recover payment for the Goods even though ownership of any of the Goods has not passed from the Seller.
5. Title for Business Customers
5.1. If the Buyer is a business customer, until ownership of the Goods has passed to the Buyer in accordance with Condition 5, you must: 5.2. store the Goods (at no cost to the Seller) separately from all other goods and goods of any third party, and in such a way that they remain readily identifiable as the Seller's property; 5.3. not destroy, deface or obscure any identifying mark or packaging on or relating to the Goods; maintain the Goods in satisfactory condition and keep them insured on the Seller's behalf for their full price against all risks to the reasonable satisfaction of the Seller. On request from the Seller, the Buyer shall produce the policy of insurance to the Seller; and 5.4. hold the proceeds of the insurance referred to above on trust for the Seller and not mix them with any other money, nor pay the proceeds into an overdrawn bank account. 5.5. If the Buyer is a business customer, the Buyer's right to possession of the Goods shall terminate immediately if: 5.5.1. there is a bankruptcy order made against the Buyer or the Buyer makes an arrangement or composition with its creditors, or otherwise takes the benefit of any statutory provision for the time being in force for the relief of insolvent debtors, or (being a body corporate) convene a meeting of creditors (whether formal or informal), or enter into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation, or have a receiver and/or manager, administrator or administrative receiver appointed over its undertaking or any part thereof, or a resolution is passed or a petition presented to any court for the winding up or for the granting of an administration order in respect of the Buyer, or any proceedings are commenced relating to your insolvency or possible insolvency; or 5.5.2. the Buyer suffers or allows any execution, whether legal or equitable, to be levied on your property or obtained against the Buyer or the Buyer is unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or ceases to trade; or 5.5.3. the Buyer encumbers or in any way charges any of the goods.
6. Your right of cancellation
6.1. The Buyer has the right to cancel the Contract at any time up to the end of 14 working days after the goods have been delivered. 6.2. To exercise the right of cancellation, the Buyer must give written notice to the Seller giving details of the Goods ordered, and (where appropriate) their delivery. Om receipt of such notice, the Seller will issue a "Returns Number" to the Buyer. No Goods will be accepted for return without the Returns Number being supplied by the Buyer to the Seller. 6.3. Except in the case of faulty or misdescribed goods, if the Buyer exercises the right of cancellation after the Goods have been delivered, the Buyer will be responsible for returning the Goods to the Seller at its own cost. The Goods must be returned to the address shown within the "Returns on Line" section of the website. The Buyer must take reasonable care to ensure the Goods are not damaged in the meantime or in transit. In the case of faulty or misdescribed Goods the Seller shall, after receiving notification in accordance with Condition 8.3 or 8.4, either collect the Goods from the Buyer or ask the Buyer to return the goods themselves. 6.4. Once the Buyer has notified the Seller that it is canceling the Contract, the Seller will refund the Buyer within 30 days for any sum that has been paid by the Buyer for the Goods. 6.5. Except in the case of faulty or misdescribed goods, if the Buyer does not return the Goods as required, the Seller reserves the right to charge the Buyer a sum which shall not exceed the direct costs of recovering the Goods. 6.6. The Buyer does not have the right to cancel the Contract if the Purchase Order is for static sensitive products or computer software which has been unsealed by the Buyer, or for consumable goods which, by their nature, cannot be returned (these are clearly marked as non-returnable on the website), save where a fault is discovered which could not have been discovered otherwise than by unsealing the Goods. 6.7. If the Seller notifies the Buyer that the Goods are not available after the Buyer has submitted a Purchase Order, the Buyer can opt to cancel the Contract at that point in time or accept a delayed delivery date. If the Buyer opts to cancel the Contract, the Seller will refund the Buyer within 30 days for any sum that has been paid by the Buyer for the Goods at the time of submitting the Purchase Order.
7. Warranty
7.1. All Goods supplied by the Seller are warranted free from defects for 12 months from the date of delivery (unless otherwise stated). This warranty does not affect your statutory rights as a consumer. 7.2. This warranty does not apply to any defect in the Goods arising from fair wear and tear, willful damage, accident, negligence by the Buyer or any third party, or use of the Goods otherwise than as recommended by the Seller, failure to follow the Seller's reasonable instructions, or any alteration or repair carried out to the Goods without the Seller's prior written consent. 7.3. If the Goods supplied to you are damaged on delivery, you should notify the Seller in writing within 5 working days. 7.4. If the Goods supplied to you develop a defect while under warranty or you have any other complaint about the Goods, you should notify the Seller in writing as soon as possible, but in any event within 5 working days of the date you discovered, or ought to have discovered, the damage, defect or complaint.
8. Limitation of Liability
8.1. Nothing in these Conditions excludes or limits the liability of the Seller for death or personal injury caused by the Seller's negligence or fraudulent misrepresentation. 8.2. The Seller will not be liable to the Buyer for any loss or damage caused by the Seller, its employees or agents, in circumstances where: 9.2.1 loss or damage was not foreseeable to both parties when the Contract was formed; 9.2.2 loss or damage was not caused by any breach on the part of the Seller. 8.3. The Seller will not be liable to the Buyer if loss or damage is caused by the Buyer not following reasonable instructions supplied by the Seller. 8.4. If the Buyer is a business customer the Seller shall not be liable to the Buyer for any indirect or consequential loss or damage (including but not limited to, loss of profit, loss of business, anticipated savings, depletion of goodwill, loss or damage suffered by any third party, or otherwise), costs or expenses which arise out of or in connection with the Contract. 8.5. The Seller's total liability to the Buyer, in connection with any Purchase Order, will not exceed the total price charged in connection with that Purchase Order.
9. Data Protection
9.1. The Seller will take all reasonable precautions to keep the details of the Buyer's order and payment secure. Unless the Seller is negligent, the Seller will not be liable for unauthorised access to information supplied by the Buyer.

13. Law and Jurisdiction
These Conditions are subject to English law and the English courts will have non-exclusive jurisdiction in respect of any dispute arising from these Conditions.
